Maritime State University, owner of STS Nadezhda
This Memorandum of Agreement is for the purpose of describing the financial and logistical agreement between International Sail Training Academy (ISTA) and
Maritime State University, (MSU) owner of STS Nadezhda.
In consideration of the mutual promises and covenants set forth herein, the parties agree as follows:
The term of this Memorandum of Agreement shall commence on the date of final signature by both parties and shall terminate upon completion of the last onboard sail training tour in San Diego, California, 2005 or as per the schedule stated as follows.
STS Nadezhda’s Arrival in Seattle to be on or before June 1st 2005 and remain in Seattle until June 22nd 2005, then, STS Nadezhda’s schedule as per the detailed schedule for participation in ‘Tall Ships Challenge 2005’.
STS Nadezhda is to provide exclusive daily onboard 3 hour sail training tours for ISTA members when STS Nadezhda is in U.S. port cities and overnight passages for ISTA members between U.S. Ports and International Ports and between International Ports and U.S. ports while participating with ‘Tall Ships Challenge 2005’. The number of ‘day sail training tours’ each day will be determined by STS Nadezhda’s Captain.
International Sail Training Academy will be providing:
ISTA will provide a “Captain’s Manual” to the STS Nadezhda upon publication, but not later than June 2nd, 2005, with contact information for the event organizers, emergency numbers, general information and contact numbers for generally requested businesses, activities, transportation, security and religious services for and in the City of Seattle.
ISTA, with the ship’s captains permission and Nadezhda’s onboard berth/bed availability, reserves the right to place selected people on board as “Crewmember Trainees” for instructional training from Seattle to Victoria, B.C. on June 23rd , 2005 onboard STS Nadezhda, and place selected people on board as “Crewmember Trainees” for instructional training from Victoria B.C. to Tacoma, Washington. ISTA will work with the Nadezhda’s Captain for placing selected people on board as “Crewmember Trainees” for instructional training while transiting from Tacoma, WA to Vancouver, BC, and from Port Alberni B.C. to San Francisco, California then between San Francisco and Los Angeles then between Los Angeles and San Diego California.
In return for all the above-mentioned service by STS Nadezhda, ISTA will pay/donate to MSU and amount equal to $5000.00 for each ‘day sail training tour’ preformed by STS Nadezhda in all U.S. port cities.
ISTA will pay/donate to MSU the amount as above stated, each day the day sail is performed by STS Nadezhda, to a location (bank account) or to a person (or to an attorney) of MSU’s choosing.
If the above services are not provided to International Sail Training Academy, by STS Nadezhda, this Memorandum of Agreement will not be enforceable.
STS Nadezhda shall indemnify, accept tender of, defend and hold harmless, International Sail training Academy, Event sponsors, and their directors, members, officers, agents, employees and contractors, from and against all claims, liabilities, damages, losses, and expenses, including but not limited to its performance, the event and any related activities, provided the incident, occurrence or facts forming the basis of the loss(es) transpired, in their entirety, underway or moored, onboard the STS Nadezhda or its gangway in the amount and with the insurance riders consisting of:
(a) Protection and indemnity insurance with minimum limits of $1,000,000 (US currency) per occurrence for either bodily injury or property damage;
(b) Hull, machinery insurance to the assessed / estimated value of repair and/or replacement; and
(c) Environmental (hazard) liability as a rider for costs associated with incidental spills, clean up and fines (if not covered within the insurance policy itself).
The berth tie up location for STS Nadezhda in Seattle is to be at Pier 86 on the end face of the pier.
I hereby understand the items in this Memorandum of Agreement and agree to the terms stated above for International Sail Training Academy’s participation with STS Nadezhda.
